These Terms and Conditions (“Terms”) govern the use of services provided by Clickseffect SRL (“we”, “us”, “our”) via Clickseffect.com and associated communication channels.
By accessing our website or purchasing our services, you agree to these Terms.

2. Services
We provide digital and IT services including:
- Website design and development
- SEO and digital marketing services
- Branding and graphic design
- AI chatbot development and integration
- Roku and Fire TV channel creation
- Ongoing maintenance and support services
All services are custom-built and tailored to each client.
3. Quotes and Contract Formation
- Services are provided based on a custom quotation
- Quotes are negotiated individually with each client
- Once a quote is accepted, it becomes binding
- Accepted quotes cannot be modified or renegotiated
- Upon acceptance, clients are redirected to payment
A binding agreement is formed upon:
- Quote acceptance AND
- Payment confirmation (full or partial depending on agreement)
4. Payment Terms
Payment structures are agreed individually and may include:
- Full upfront payment
- Partial upfront payment + balance on completion
- Milestone-based payments
Payments are processed via Netopia.
Work begins only after the agreed initial payment is received.
5. Refund Policy
Refunds depend on service type and project stage:
5.1 Website Design & Graphic Design
- Full refund if cancelled before work begins
- After work begins: no full refunds; partial refunds may apply for incomplete milestones
5.2 SEO & Digital Marketing
- All SEO and marketing services are non-refundable once payment is made and work begins
5.3 AI Chatbots
- Full refund if cancelled before work begins
- Once development starts: no refunds are available
5.4 Roku / Fire TV Channel Creation
- Full refund if cancelled before work begins
- Once development starts: no refunds are available
6. Delivery & Timelines
- Delivery timelines are estimates only, not fixed deadlines
- Timelines may vary depending on project complexity and client responsiveness
- Delays caused by client feedback or missing materials will extend delivery time accordingly
7. Client Responsibilities
Clients agree to:
- Provide all necessary content, materials, and access required for the project
- Ensure all provided content is legal and does not infringe third-party rights
- Understand that delays in providing materials may delay project completion
8. Intellectual Property
- Upon full payment, the client owns the final delivered work
- We reserve the right to display completed work in our portfolio, marketing materials, and case studies unless otherwise agreed in writing
9. AI Chatbots
For AI-related services:
- We do not guarantee accuracy of AI-generated responses
- Clients are responsible for how chatbots are used and deployed
- We are not liable for decisions, actions, or outcomes resulting from AI output
10. Account System
If client accounts are provided:
- Clients are responsible for maintaining confidentiality of login credentials
- We reserve the right to suspend or restrict access in case of misuse, abuse, or non-payment
11. Termination
We reserve the right to terminate services if:
- The client engages in abusive, unlawful, or inappropriate behavior
- Payments are not made according to agreed terms
In case of termination, work already completed may still be billed proportionally.
12. Limitation of Liability
To the maximum extent permitted by law:
- Clickseffect SRL is not liable for indirect, incidental, or consequential damages
- We are not responsible for third-party service failures, including hosting providers, APIs, or payment processors
- Our total liability is limited to the amount paid by the client for the specific service
13. Force Majeure
We are not liable for delays or failure to perform services due to events beyond our reasonable control, including but not limited to:
- Server outages
- Internet disruptions
- Third-party service failures
- Natural disasters
- Government actions
14. Digital Delivery
All services are delivered digitally.
No physical goods are shipped or delivered.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Romania.
Any disputes shall be resolved exclusively in the competent courts of Hunedoara County, Romania (including Petroșani jurisdiction where applicable).
16. Changes to Terms
We reserve the right to update or modify these Terms at any time.
Continued use of our services constitutes acceptance of the updated Terms.
17. Alternative Dispute Resolution (ADR)
In accordance with applicable legal provisions, we inform you that if you are not satisfied with the solution provided in response to a complaint addressed to our company, you have the right to resort to alternative dispute resolution mechanisms (ADR), in accordance with Government Ordinance no. 38/2015.
